PRICING
EDA charges a fixed per-entity service fee for administrative work tied to a commercial real estate transaction.
- Fixed Per-Entity Fee
The service fee is $950 per legal entity within one commercial real estate transaction.
The service fee is a one-time charge. It is not a recurring, subscription, or maintenance charge.
- Administrative Work
The service fee covers administrative work only.
Administrative work does not include legal, tax, regulatory, compliance, or other advisory services. EDA does not interpret requirements, recommend approaches, evaluate options, make judgment calls, or use discretion.
- Timing of Covered Work
An engagement may include administrative work requested before or after closing, if the work relates to the same legal entity and the same transaction. Administrative actions do not need to be identified at the start of the engagement.
Work for a different transaction, or work that is not part of the same transaction, requires a new engagement.
- Additional Entities
A single transaction may involve more than one legal entity.
Work for each additional legal entity is priced separately and must be confirmed before that work begins.
- What Does Not Change the Fee
The fee stays the same even when the transaction is more complex, more administrative actions are requested, or there are changes in deal size, ownership structure, beneficial ownership, or outcome.
EDA may change fees for future engagements, but those changes do not affect fees already confirmed for existing engagements.
- Government & Third-Party Fees
Government and third-party fees are separate from EDA’s service fee. Government fees vary by jurisdiction and may include filing fees, state charges, certified copies, certificates of good standing, and other government-issued documents. Third-party fees may include registered agent, courier, mailing, payment processing, and similar outside costs.
Government and third-party fees are passed through at cost with no markup. Expedited processing is available only where offered.
- Payment
EDA accepts payment either upfront or as a disbursement at closing.
Closing disbursement requires written closing instructions and a backup payment method. The payment method is charged only if funds covering the service fee are not received at closing. EDA does not act as an escrow agent or hold closing proceeds in trust.
- How the Work Is Performed
EDA performs administrative actions after receiving written instructions from you or your authorized advisors.
Each administrative action requires written instructions. EDA does not monitor for future needs between requested administrative actions.
- Incomplete Instructions
Some administrative actions cannot be completed from the written instructions provided. This may occur when required information is missing or a decision must come from you or your authorized advisors.
EDA pauses the affected administrative action until the needed information or direction is provided.
- Role of Counsel and Advisors
You and your authorized advisors remain responsible for decisions about entity structure, governance, reporting obligations, lender requirements, and document sufficiency.
EDA’s services are administrative and do not replace counsel or professional advisors.
- Reference Forms
Reference forms are available for review for the Engagement Agreement (athttps://edacre.com/engagement-agreement.html) and for the Entity Scope List (athttps://edacre.com/engagement-agreement/entity-scope-list.html).
When an engagement is accepted, EDA prepares the applicable documents with known engagement details.
